Terms of Service

By registering an account, connecting databases, syncing webhook tokens, or otherwise using the BluiAI autonomous conversational commerce software ("Services"), you agree to be bound by these Terms of Service ("Agreement"). If you represent a business or merchant, you warrant that you have the authority to bind that business to these terms.

BluiAI offers automated business partner hosting software. The service allows you to link external channels (WhatsApp Business API, Telegram Bot API) to our autonomous decision-making engine. This engine processes real-time catalog items, inventory levels, and price negotiations according to your guardrails.

We reserve the right to modify, suspend, or update features of the service at any time to patch vulnerabilities, optimize the AI logic parameters, or comply with messaging channel API updates.

As a merchant deploying an autonomous agent, you are solely responsible for:

• Guardrail Settings: Setting standard prices, catalog parameters, and minimum floor limits. You acknowledge that the AI agent will negotiate discounts down to the floor limit you set.
• Access Control: Protecting database API keys, CRM tokens, and Webhook signing keys.
• Channel Compliance: Operating your channels in compliance with the Meta WhatsApp Business Policy, Telegram Developer Terms, and local consumer rights laws.

PLEASE READ THIS SECTION CAREFULLY. BLUIAI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

In no event shall BluiAI Inc., its developers, or its affiliates be liable for:

• Financial losses resulting from over-discounting or bargaining outcomes.
• Loss of revenue or sales due to database sync failures or inventory lock lags.
• Service disruptions on messaging channels (WhatsApp/Telegram API downtime).
• Unauthorised database access resulting from leaked API tokens or keys on the merchant side.

The BluiAI brand, the autonomous negotiator algorithm, our system dashboard design, custom webhooks, logo assets, and codebases are the exclusive intellectual property of BluiAI Inc.

Merchants are granted a limited, revocable, non-transferable licence to access and run the platform interfaces during their active subscription term.

We reserve the right to suspend merchant accounts or terminate API webhook connections immediately if we detect spamming, fraudulent checkout loops, distribution of illegal goods, or violations of connected channel policies.

You can disconnect your database configurations and channel connections at any time. Refer to the Privacy Policy for details on data erasure timelines upon account termination.

These terms, and any dispute arising from the use of BluiAI services, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal actions or proceedings must be initiated in the state or federal courts located in Delaware.
